Interim payment decision from CMB to investors of funds in liquidation process

In the CMB bulletin, application results, administrative fines, other sanctions and measures, and new policy decisions were announced.

Accordingly, the Board decided to conditionally approve the issue document regarding the private capital increase to be realized by Hektaş Ticaret Türk AŞ in return for a capital advance of 2 billion 380 million liras. It was planned to increase Hektaş’s issued capital of 8 billion 430 million liras, which is within the registered capital ceiling of 25 billion liras, by restricting the rights of existing partners to acquire new shares.

In this context, it was envisaged to increase the allocated capital in the amount corresponding to the capital advance of 2 billion 380 million lira paid to the company by the General Directorate of the Army Relief Institution (OYAK) and the nominal amount to be calculated based on the share sales price to be determined in accordance with the Procedure for Borsa Istanbul AŞ Wholesale Buying and Selling Transactions.

The share price to be taken as basis in the allocated capital increase cannot be lower than the higher of 3.39 lira, which is valid for OYAK General Directorate in the wholesale transaction dated June 25, 2026, and the base price to be determined within the scope of the relevant procedure of Borsa Istanbul.

It was decided that the issuance document would be accepted positively by correcting it to include the share sales price information to be determined after the company’s application to Borsa Istanbul AŞ.

Tera Investment’s activities were temporarily suspended

The Board decided to temporarily suspend the capital market activities of Tera Yatırım Menkul Değerler AŞ as of September 30, 18.10.

In addition, it was decided to permanently cancel the licenses of Emir Münir Sarpyener, Hayriye Car and Hakan Gövdere, who were responsible for the illegal works and transactions carried out by Tera Yatırım Menkul Değerler AŞ.

On the other hand, as a result of the investigation carried out on Borlease Otomotiv AŞ, the Board decided to impose an administrative fine of 2 billion 996 million 438 liras in total on 8 real persons on the grounds that the reports containing evaluations about whether the assumptions taken as a basis in determining the public offering price were realized or not, and if not, the reasons why, were published late, were not prepared at all and were not published.

The Board decided to take the necessary legal action to block access to 3 websites in order to prevent unauthorized activities in the capital markets.

Interim payment decision for liquidated funds

CMB made new decisions regarding the funds founded by A1 Capital, Bulls and Pardus Portföy Yönetimi AŞ, which are on the liquidation list.

In this regard, the Board decided to carry out the liquidation process, starting from the investment funds with the phrase ‘money market’ in their titles, and liquidating the funds from the highest to the lowest according to the number of investors.

In addition, after the liquidation process is completed, it has been decided that the funds that are not within the scope of liquidation but have been closed to purchase/sale in TEFAS and non-TEFAS distribution channels in accordance with the Board decisions on September 17, can be opened for simultaneous transaction for purchase and/or sale in all distribution channels, and the date of opening for transaction and the principles of fund participation share purchase/sale will be determined by the founding portfolio management company, taking into account the fund portfolio structures, liquidity and market conditions and investor interests.

In the funds established by Tera, Pusula, Atlas and Hedef Portföy Yönetimi AŞ and in the liquidation process, it was decided to make an interim payment to all participation share holders whose reconciliation has been completed, as an offset to the payment they will be entitled to as a result of the liquidation.

It was decided to take into account the net investment amounts to be calculated by Central Registry Agency AŞ (MKK) for each beneficiary as the basis for the interim payment. It has been decided that the amount based on interim payment for each investor will be this amount for investors whose net investment amount is less than 1 million lira on the date of payment, and a maximum of 1 million lira for investors whose net investment amount is 1 million lira and above.

Within the scope of the decisions taken, this additional liquidation procedure will be applied starting from money market funds and no refund of participation fee will be made in return for interim payment. Participation fee refunds will be made during the final liquidation payments.
